| Summary: | O presente trabalho visa tratar sobre a seguinte questão: a forma de investimento do contrato de participação – representada pela figura do investidor-anjo – é uma boa solução para o investimento em startups? Serão abordados, no trabalho, o conceito de startup, que embora apresente variações conforme os países ou autores, apresenta elementos básicos em comum; a definição de investidor-anjo, advinda da Lei Complementar 123, por meio da adição da Lei Complementar 155; e, por fim, as vantagens e desvantagens, relacionadas a aspectos tributários, societários e de responsabilidade, que envolvem a utilização deste para investimento naquela. Aborda-se brevemente também a necessidade de melhorias legislativas para tal figura. |
| Abstract: | This paper intends to talk about the participation contract – represented by the angel investor - as a form of investment – is it a good way to invest in startups? The concepts of startup, which, although it presents variations regardless the country or author, it has basic common elements; the definition of angel investor, brought by the Complementary Law 123, through the Complementary Law 155; and the angel investor advantages and disadvantages as a way of investing in startups will be addressed, related to taxation, corporate and responsibility aspects. The necessity of legislation improvement towards the angel investor will also be briefly mentioned. |
